We understand the importance of confidentiality and privacy regarding your information. Please refer to our Privacy Policy for information regarding how we collect, use, and disclose information about you.

Introduction

VivaRX, Inc. (“VivaRX,” “VivaRX,” “we,” or “our”) owns and operates VivaRX.org (the “Site”). Your use of the Site, any part thereof, or anything associated therewith, including the services, features, content, and applications, together with the Site, are the VivaRX Services (“Services”). Any products or services provided through the Site or any affiliated website, software, or application owned or operated by or in collaboration with VivaRX are governed by these Terms of Use (“Terms” or “Terms of Use”). By accessing or using any of the Services, you agree to be bound by these Terms.

Agreement to Terms

These Terms of Use constitute a legally binding agreement between you (“you”) and VivaRX, Inc. By accessing or using the Site or Services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with all of these Terms, you are expressly prohibited from using the Site and Services and must discontinue use immediately.

We reserve the right, in our sole discretion, to modify these Terms at any time. Changes will be indicated by the “Last Updated” date. Your continued use of the Services constitutes acceptance of the revised Terms.

Requirements for Use

You must have compatible computing and/or mobile devices, access to the internet, and certain necessary software to use the Site. Fees and data charges may apply.

Your Relationship with VivaRX

VivaRX does not provide medical services directly. Instead, the Services include access to one or more affiliated professional medical groups (“Medical Groups”) that employ or contract with licensed healthcare providers (“Providers”). Providers are solely responsible for the healthcare services you receive.

Accessing the Site does not create a patient-provider relationship. Providers may determine that your condition requires in-person evaluation and may decline telehealth treatment accordingly.

Independent Medical Judgment

VivaRX is not licensed to practice medicine and does not control or interfere with the independent clinical judgment of Providers or their Medical Groups. All healthcare decisions rest solely with the Providers.

Pharmacy Services

VivaRX is not a pharmacy and does not dispense medication. Prescriptions, if clinically appropriate, are fulfilled by independent pharmacy partners.

Currently, VivaRX offers services in all 50 states plus Washington, D.C. Some services may not be available in every state or Washington, D.C. Coverage is subject to change at any time.

Electronic Communications

By accepting these Terms of Use, you agree and consent to VivaRX sending you disclosures, notices, messages, reports, and other communications electronically. You agree that electronic notices satisfy legal requirements.

Protected Health Information (PHI)

VivaRX facilitates healthcare services, including administrative support for scheduling, payment, and prescription coordination. Providers and affiliated Medical Groups may collect and store personal health information subject to HIPAA or applicable state laws.

By using the Services, you consent to the sharing of your information with Medical Groups, Providers, pharmacies, and labs as necessary for treatment and fulfillment. Please review our Privacy Policy and Notice of Privacy Practices for more details.

Prohibited Activities

You may not:

Impersonate any person or entity

Use the Site for illegal purposes

Attempt to interfere with the Site’s functionality or security

Collect user data without authorization

Use bots, spiders, or scrapers to extract content

Violation may result in account termination and legal action.

User Representations

By using the Site, you represent that:

All information you provide is accurate and complete

You are at least 18 years old or legally able to consent in your jurisdiction

You will not use the Site for unlawful purposes

Your use complies with all applicable laws and regulations

Proprietary Rights

All content, trademarks, and intellectual property on the Site belong to VivaRX, Inc. or its licensors. You may not copy, modify, or distribute content without prior written consent.

The Site may contain links to third-party websites. VivaRX is not responsible for third-party content, services, or transactions.

Payments

You agree to pay all fees for Services as presented at checkout. Payments may be processed by third-party vendors (e.g., Stripe).

Subscription services will auto-renew unless canceled. Refunds and cancellations are limited and subject to provider policy, as described during checkout.

Subscription Services

VivaRX offers certain products and services on a recurring subscription basis (the “Subscription Services”). Your enrollment in a Subscription Service begins once you complete the required medical intake form. Upon submission of the intake form, you will be charged for the first billing cycle.

Subscription Services may include, where medically appropriate and legally permitted, access to licensed medical providers, prescribed medications, and ongoing online support. Services offered through a Subscription Service may vary based on medical eligibility, state regulations, and your individualized treatment plan.

If a licensed medical provider determines that you are not medically eligible for treatment for any reason, you will receive a full refund for the applicable billing cycle.

Cancellation Policy

You may cancel your Subscription Service at any time and for any reason.

To cancel your Subscription Service, you may:

Cancel through your online account, if such functionality is available.

To avoid being charged for an upcoming billing cycle, cancellation requests must be received at least seventy-two (72) hours prior to your scheduled billing date. If a cancellation request is received fewer than 72 hours before your billing date, the upcoming billing cycle will be charged, and the cancellation will take effect at the end of the following billing cycle.

Following cancellation, you will continue to have access to the Subscription Services through the end of your current paid billing period.

Refund Policy

Refunds may be requested or issued only for the current billing cycle and only if no medication has been ordered at the time the refund request or cancellation is made.

For new patients, medication is generally considered ordered:

Upon submission of the intake form if no live video visit is required, or

Upon completion of the required live video visit if a synchronous visit is required.

For returning patients, medication is generally considered ordered upon submission of a refill intake for the applicable billing cycle.

Once a prescription medication has been ordered on your behalf, you are not eligible for a refund for that billing cycle.

This policy is required to comply with pharmaceutical regulations and public health laws. Federal and state regulations generally prohibit the return, reuse, or refund of prescription medications once they have been ordered or dispensed to a patient.

Refunds, if approved, apply only to the most recent billing cycle and will not be issued for prior billing cycles.

Damaged or Incorrect Medications

You are responsible for inspecting your medication promptly upon delivery.

If your medication appears damaged or incorrect, you must contact customer support immediately at hello@VivaRXmeds.com. In most cases, damaged or incorrect medications will be replaced directly by the dispensing pharmacy.

Refunds related to damaged or incorrect medications are reviewed on a case-by-case basis and may require supporting documentation or photographic evidence. When feasible, replacement of the medication will be provided instead of a refund.

Disclaimers

The Site and Services are provided “as is” without warranties of any kind. VivaRX does not guarantee uninterrupted access, error-free operation, or particular outcomes from the Services.

Limitation of Liability

To the fullest extent allowed by law, VivaRX and its affiliates will not be liable for indirect, incidental, or consequential damages. Direct liability is limited to the amount paid by you for the Services.

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflicts of law. Any disputes shall be resolved in Sheridan County, Wyoming.

Indemnity

You agree to indemnify and hold harmless VivaRX, Inc., its affiliates, Providers, and Medical Groups from claims, damages, or expenses arising from your use of the Services or violation of these Terms.

Termination

VivaRX may suspend or terminate your access to Services for any reason, including violation of these Terms. Certain provisions (Disclaimers, Limitation of Liability, Indemnity, Governing Law) will survive termination.

Entire Agreement

These Terms of Use, along with our Privacy Policy, Telehealth Consent, and any other policies referenced herein, constitute the entire agreement between you and VivaRX, Inc.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from VivaRX, Inc. Any attempted assignment or transfer in violation of this restriction shall be null and void.

VivaRX, Inc. may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction and without prior notice to you. Such assignment may occur, for example, in connection with a merger, acquisition, corporate reorganization, or sale of assets. These Terms shall be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.
